1The work

AI products for the close take on the repetitive steps (gathering data, preparing reconciliations and schedules, drafting journal entries and accruals, explaining fluctuations, chasing tasks) and leave the controller with review, judgment and sign-off. The makers in this note describe agents that work inside the ledger or the close tool, surface what needs review, and keep an audit trail of what they did.

A close is a chain of dependent tasks over a few working days. Subledgers are closed; cash, receivables, payables and inventory are reconciled; accruals, prepaids, depreciation and allocations are booked; intercompany is eliminated; balances are reviewed for fluctuations; the trial balance is locked; statements and the management pack are produced. Every step has a preparer and a reviewer, and a checklist that says who did what and when.

Much of the effort is not the entries themselves but the evidence around them: pulling reports, tying schedules to the ledger, attaching support, and answering the reviewer's questions. That is the part makers say their agents now do.

A person must stay in the loop for estimates and judgments (reserves, accrual amounts without an invoice, impairment indicators), for the review of anything the agent prepared, for approval of journal entries above set thresholds, and for locking the period. A controller should be able to see, for any balance, what the software did and what a person approved. Products that post entries on their own move part of that responsibility; the control design has to say where.

2Where AI is applied

Makers describe agents that prepare reconciliations and schedules, draft journal entries and accruals, categorise and match transactions continuously during the month, draft flux explanations, and route exceptions to people. Several describe governance features that map their agents to controls.

3Limits and control questions

For a listed company, any automated step that feeds the financial statements sits inside internal control over financial reporting, which management must evaluate and report on; the SEC's interpretive guidance for that report is Release 33-8810.1 COSO describes its Internal Control, Integrated Framework as originally issued in 1992 and refreshed in 2013.2

Some filers are explicit that AI is not yet part of their reporting: Linkhome Holdings' 10-K says the company has "yet to utilize AI within our financial reporting or internal control over financial reporting functions."3 That is a choice a company can make and disclose.

Thresholds are a judgment, not a setting. The SEC staff's view on materiality is that "exclusive reliance on this or any percentage or numerical threshold has no basis in the accounting literature or the law."4 A tool that flags only what crosses a percentage leaves the qualitative items to a person.

Where a product uses a generative model to draft text, NIST has published a separate profile on the risks particular to generative AI, NIST AI 600-1.5

NIST's AI Risk Management Framework is a common reference for those questions. NIST says the framework is "intended for voluntary use and to improve the ability to incorporate trustworthiness considerations into the design, development, use, and evaluation of AI products, services, and systems."6 Its first version is published as NIST AI 100-1.7

Vendor claims about AI are claims, not findings. The SEC has brought settled charges against two investment advisers "for making false and misleading statements about their purported use of artificial intelligence (AI)."8 A finance team that relies on a vendor's description should ask for evidence of what the feature does with its own data.

6Questions to put to a vendor

  1. Which close tasks does the product perform end to end, and which does it only prepare for review?
  2. Can it post journal entries, and under what limits on amount, account and entity?
  3. How is each action logged, and can a reviewer see the inputs behind each entry or explanation?
  4. How do its agents map to our controls, and who tests those controls?
  5. What happens if an agent's output is wrong after the period is locked?
  6. Which systems does it read from and write to, and with what permissions?
  7. Is our ledger data used to train models for other customers?
  8. What will our external auditor see, and has an audit firm reviewed the evidence it produces?
